  5. 5 The testimonials may not be representative of other investors and are no guarantee of future performance, success of the Company, or return on investment. Trustpilot and BBB ratings reflect the reviewer’s or agency’s assessment of the Company’s customer service and general business practices — not an evaluation or endorsement of any specific investment, security, or offering. As of 11/03/26. Trustpilot and BBB are independent, unpaid third-party review platforms; each platform’s methodology is available on its website. Some reviews have been lightly edited for spelling, punctuation, and grammar, with substantive edits marked in [brackets].
  6. 6 Reflective of total interest on all bonds and notes issued from inception through 9/30/2026. Not a guarantee of future performance. 7. 7 Cash Interest options pay interest monthly. Compound Interest options for the Registered and Private Placement Offerings compound monthly, with accrued interest added to the then-outstanding principal and paid with principal at maturity; Phoenix Flex Compound Interest Notes compound daily and pay principal plus accrued interest when redeemed or at maturity. Investors in compounding options may owe income tax each year on interest not yet received.
  8. 8 Withdrawing funds from a qualified plan such as an IRA, 401(k), or 403(b) may subject you to tax implications as well as penalties for withdrawing funds prior to age 59½. Please review your plan materials and/or contact your plan administrator for more information regarding tax considerations and possible penalties. If you decide to use funds from a qualified plan, your representative can assist you with the rollover process. A qualifying direct rollover may help avoid tax and penalty charges related to the transaction; custodian fees may apply. Please consult your tax advisor. If you are currently subject to Required Minimum Distributions (RMDs), please consult your tax or benefits advisor regarding how an investment with Phoenix may affect your RMD obligations.
  9. 9 Set Put Interval refers to the 3-, 6-, 9-, 12-, or 18-month interval selected when the Notes are purchased. The Set Put Date is the last day of each Set Put Interval. At a Set Put Date, Notes may be redeemed at 100% of principal plus accrued and unpaid interest. A request for redemption at a Set Put Date must be received at least 30 but no more than 45 calendar days before that Set Put Date (the notice window). If Phoenix Energy does not receive a valid redemption request by the applicable deadline, Phoenix Energy will be under no obligation to redeem the Notes on the next Set Put Date, and the Notes will continue. Redemptions on a Set Put Date are subject to Phoenix Energy’s senior debt agreements, and Phoenix Energy is not required to redeem Notes when prohibited by law or contract. Participants who miss the window can request early redemption, which is separate from scheduled redemption at a Set Put Date. Early redemption may be made at 95% of the aggregate principal amount of the Notes plus accrued and unpaid interest, subject to the terms, conditions, exceptions, a company-wide annual limit, and other limitations described in the applicable prospectus and offering documents. Phoenix Energy may not be able to satisfy early redemption requests in all circumstances. Please see “Risk Factors” in the Phoenix Flex prospectus for additional information.
