Prospective Investor FAQs

  • Phoenix Energy is conducting offerings of debt securities pursuant to (i) an exemption from registration under Rule 506(c) of Regulation D (“Private Placement Offering”) of the Securities Act of 1933, as amended (the “Securities Act”) and (ii) a registration statement on Form S-1 under the Securities Act (including a prospectus) filed with the SEC (the “Registered Offering”), and (iii) a registration statement on Form S-1 (including a prospectus) for its Phoenix Flex notes (“Phoenix Flex”).
  • The Private Placement Offering is exempt from the registration requirements of the Securities Act and only “accredited investors”, as such term is defined in Rule 501 of Regulation D, may invest in such offerings.
  • The Registered Offering is being made pursuant to a registration statement and prospectus, filed, or registered with the U.S. Securities and Exchange Commission (“SEC”) and appropriate state regulatory agencies. For the Registered Offering and Phoenix Flex, only investors meeting certain criteria, including financial suitability requirements, may invest. The eligibility requirements may be found in the offering documentation, including the prospectus, that the Company has filed on EDGAR with the SEC and can be found at sec.gov, where you can obtain a free copy of the prospectus. Alternatively, Phoenix Energy or a registered representative of Crescent will supply additional materials when requested. Call 303.376.9778 or email InvestorRelations@phoenixenergy.com to place a request.
  • Before you invest, you should read the offering documentation for the relevant debt offering, including, with respect to the Registered Offering, the prospectus, and other documents that the Company has filed with the SEC.

No, you do not need to be accredited to purchase the notes sold in the Registered Offering or the notes sold in Phoenix Flex. If you are an “accredited” investor, you can also purchase the bonds sold in the Private Placement Offering.

Yes. The minimum purchase amount is $1,000 for Phoenix Flex, $5,000 for the Registered Offering and $25,000 for the Private Placement Offering. After meeting the minimum purchase amount, additional notes or bonds may be purchased in $1,000 increments.

Phoenix Energy may redeem the bonds issued pursuant to its Private Placement Offering and the notes issued pursuant to its Registered Offering at face value plus any accrued but unpaid interest. Phoenix Energy may also redeem Phoenix Flex notes at any time at 100% of principal plus accrued and unpaid interest. Phoenix Flex investors may request redemption at 100% of principal on the last day of their chosen 3-, 6-, 9-, 12- or 18-month redemption interval, with 30 to 45 days’ prior notice, or at other times at 95% of principal plus accrued and unpaid interest, subject to an annual cap and other limitations. All redemptions are subject to the terms of the Phoenix Flex prospectus.

  • The Company is its own transfer agent for its debt offerings, both under the Private Placement Offerings and the Registered Offering.
  • Phoenix Energy maintains a record of ownership, including contact information, for a record holder of its notes and bonds, handles any title transfers, pays interest and otherwise handles communications to holders regarding their notes and bonds.

Footnotes

  1. 1 Registered offerings will be subject to certain criteria, including objective financial suitability standards specific to each offerings and amount invested (see prospectus). Private placement offerings open to "accredited investors" only. Accredited investors as defined in Rule 501 of Regulation D includes individuals with a net worth over $1 million (excluding primary residence) or income over $200,000 (individual) or $300,000 (household) in each of the prior two years, with a reasonable expectation of the same in the current year. Learn more about accreditation requirements.
  2. 2 Rates are fixed and vary depending on Set Put Interval selected. See the Phoenix Flex prospectus.
  3. 3 Set Put Interval refers to the 3-, 6-, 9-, 12-, or 18-month interval selected when the Notes are purchased. The Set Put Date is the last day of each Set Put Interval. At a Set Put Date, Notes may be redeemed at 100% of principal plus accrued and unpaid interest. A request for redemption at a Set Put Date must be received at least 30 but no more than 45 calendar days before that Set Put Date (the notice window). If Phoenix Energy does not receive a valid redemption request by the applicable deadline, Phoenix Energy will be under no obligation to redeem the Notes on the next Set Put Date, and the Notes will continue. Redemptions on a Set Put Date are subject to Phoenix Energy’s senior debt agreements, and Phoenix Energy is not required to redeem Notes when prohibited by law or contract. Participants who miss the window can request early redemption, which is separate from scheduled redemption at a Set Put Date. Early redemption may be made at 95% of the aggregate principal amount of the Notes plus accrued and unpaid interest, subject to the terms, conditions, exceptions, a company-wide annual limit, and other limitations described in the applicable prospectus and offering documents. Phoenix Energy may not be able to satisfy early redemption requests in all circumstances. Please see “Risk Factors” in the Phoenix Flex prospectus for additional information.
  4. 4 The $1,000 minimum initial investment applies solely to the Phoenix Flex Junior Secured Notes™ offering. The Registered Offering requires a minimum initial investment of $5,000. The Private Placement Offering is available to “accredited investors” only and requires a minimum initial investment of $25,000
  5. 5 For illustrative comparison only. CD rates are the annual percentage yields (APYs) for fixed-rate CDs published on the websites of Marcus by Goldman Sachs, Ally Bank and E*TRADE (Bank CDs issued by Morgan Stanley Private Bank, N.A.) as of October 30, 2026, and may have changed since. A dash means the bank does not offer that term. Bank CDs are deposits insured by the FDIC up to applicable limits and return principal at maturity. Phoenix Flex Junior Secured Notes™ are not bank deposits, are not FDIC insured or guaranteed, are junior secured obligations of Phoenix Energy ranked behind its senior secured debt, have a 10-year maturity and have no public trading market. The 3- to 18-month periods shown for Flex are Set Put (redemption) Intervals, not maturities; see the prospectus for redemption terms and limits. Liquidity, tax treatment and early-withdrawal terms differ.
  6. 6 The testimonials may not be representative of other investors and are no guarantee of future performance, success of the Company, or return on investment. Trustpilot and BBB ratings reflect the reviewer’s or agency’s assessment of the Company’s customer service and general business practices — not an evaluation or endorsement of any specific investment, security, or offering. As of 11/03/26. Trustpilot and BBB are independent, unpaid third-party review platforms; each platform’s methodology is available on its website. Some reviews have been lightly edited for spelling, punctuation, and grammar, with substantive edits marked in [brackets].
  7. 7 Withdrawing funds from a qualified plan such as an IRA, 401(k), or 403(b) may subject you to tax implications as well as penalties for withdrawing funds prior to age 59½. Please review your plan materials and/or contact your plan administrator for more information regarding tax considerations and possible penalties. If you decide to use funds from a qualified plan, your representative can assist you with the rollover process. A qualifying direct rollover may help avoid tax and penalty charges related to the transaction; custodian fees may apply. Please consult your tax advisor. If you are currently subject to Required Minimum Distributions (RMDs), please consult your tax or benefits advisor regarding how an investment with Phoenix may affect your RMD obligations.
  8. 8 Actual maturity term of the Notes is 10 years from issuance. “Short-term” in this context refers to the Set Put Interval — the 3-, 6-, 9-, 12-, or 18-month interval selected between penalty-free redemption options at the time the Notes are purchased. See the Phoenix Flex prospectus for additional information.
  9. 9 Cash Interest options pay interest monthly. Compound Interest options for the Registered and Private Placement Offerings compound monthly, with accrued interest added to the then-outstanding principal and paid with principal at maturity; Phoenix Flex Compound Interest Notes compound daily and pay principal plus accrued interest when redeemed or at maturity. Investors in compounding options may owe income tax each year on interest not yet received.
  10. 10 Financial Times, “The Americas’ Fastest-Growing Companies 2025” (April 1, 2025), ft.com/americas-fastest-growth-2025. Phoenix Energy ranked 33 out of 300 based on revenue growth from 2020 to 2023.
